09 Separate Bank Authorization (Optional)
Solely to evaluate or maintain a commercial credit relationship, the Applicant authorizes the bank identified in this application to disclose general information about the Applicant’s business banking relationship and account standing to DA Produce Guys, to the extent permitted by law. This authorization does not permit any withdrawal, debit or transfer of funds.
10 Commercial Credit Agreement & Produce Trading Terms
Approved commercial produce purchases. Late-payment interest: 1.5% monthly (18% annually).
Accuracy and authorization The Applicant confirms that the information and supporting documents supplied are accurate, complete and submitted by an authorized representative, and agrees to notify DA Produce Guys of material inaccuracies or suspected misuse of its account.
Credit approval and prepayment Submission does not establish a credit account or guarantee a requested limit or terms. Until DA Produce Guys confirms approval in writing, orders may require full prepayment. Credit limits may be reduced, suspended or revoked for future orders, subject to applicable law.
Payment and late interest All valid invoices are due according to their agreed payment terms. Overdue unpaid principal will bear simple interest at 1.5% per month (equivalent to 18% per annum, without compounding), beginning the day after the invoice due date and continuing until paid, or at the maximum lawful rate if lower. No interest is charged on accrued interest.
Overdue accounts and collection DA Produce Guys may place further orders on prepayment terms or suspend credit where accounts are overdue. The Applicant agrees to reasonable enforcement and collection expenses, including legal fees and court or arbitration costs, only to the extent legally recoverable.
DRC rules and dispute resolution The parties expressly agree that disputes arising from transactions in fresh fruits and vegetables will be handled under the Fruit and Vegetable Dispute Resolution Corporation (DRC) By-laws, applicable Trading Standards, Transportation Standards and Dispute Resolution Rules, as amended and applicable. This includes informal consultation, mediation where agreed or required, and binding arbitration where the DRC has jurisdiction, including where a non-member accepts these Rules by written agreement. Nothing here displaces mandatory law.
Produce inspection, condition and claims The Applicant must examine deliveries promptly, preserve relevant evidence and report rejection, shortage or quality/condition claims promptly in writing in accordance with the applicable contract, DRC Trading Standards and inspection requirements, including the DRC Good Inspection Guidelines where applicable. Inspection and claims deadlines depend on the circumstances and applicable rules.
Credit verification and bank references The Applicant authorizes DA Produce Guys to verify commercial information with identified trade references and, to the extent authorized and permitted by law, banks and business credit-reporting sources. Any separate bank release in section 09 applies only if signed.
Changes to business The Applicant will give written notice promptly, and where practicable within 14 days, of material changes to ownership, legal name, business structure, financial condition, invoicing contacts or address. Notice does not extinguish existing obligations.
Governing law and statutory protections Subject to mandatory laws and the DRC dispute process, Ontario law and applicable Canadian federal law govern this application. No provision waives rights that cannot lawfully be waived, including any applicable produce-supplier trust rights under Canadian law or the U.S. Perishable Agricultural Commodities Act (PACA). Required statutory trust notices and procedures must be satisfied separately.
Documents, privacy and other sales terms Government-issued identification supplied with this application is requested for identity verification and fraud prevention. DA Produce Guys will use personal information only for legitimate credit-administration purposes in accordance with applicable privacy law. Separate, accepted written terms may govern product specifications, delivery, taxes, freight and other sale conditions; any conflict with mandatory DRC requirements is resolved under applicable law and DRC rules.
11 Applicant Certification & Execution
By signing, the Applicant certifies the information supplied is accurate, confirms the signer has authority to bind the Applicant, and accepts the terms above, including the DRC dispute-resolution provision, subject to applicable law.
12 Optional Personal Guarantee
Only required if DA Produce Guys expressly requests a personal guarantee before granting credit. Each guarantor signs individually.
In consideration of DA Produce Guys providing or continuing commercial credit to the Applicant, each individual who signs below in a personal capacity unconditionally guarantees payment of amounts validly due from the Applicant, plus reasonable collection and enforcement costs to the extent permitted by applicable law. This guarantee also covers late-payment interest validly owed by the Applicant under clause 3, subject to applicable law.
This is a continuing guarantee. It may be revoked for future transactions by written notice actually received by DA Produce Guys; revocation does not release liability for obligations incurred before notice. Each guarantor confirms that this is a personal undertaking distinct from signing on behalf of the Applicant. If more than one individual signs, their obligations are joint and several to the extent permitted by law.
Personal guarantor 2 (if applicable)
13 Supporting Documents
Please attach a valid government-issued photo ID for the authorized signer and each signing guarantor (if applicable), plus a resale or tax-exemption certificate where applicable. Additional corporate documents or financial statements may be requested during verification.
